We are looking for an experienced, Russian-speaking lawyer specializing in Special Situations complex corporate matters involving shareholder relations, control, litigation, and risk management. The role requires strategic judgment and hands-on legal expertise to support decision-making and ensure alignment within multi-layered shareholder and holding structures, often governed by English law. Responsibilities: Develop and implement legal strategies to protect shareholder and company interests Prepare legal positions, procedural documentation, and evidence for corporate litigation Represent the company in court proceedings and supervise external counsel Navigate complex shareholder networks and ensure consistent governance and control Draft, review, and amend shareholder agreements, voting and ownership frameworks, including those governed by English law Establish internal mechanisms for resolving sensitive corporate situations and ensuring compliance Advise senior management and shareholders on corporate governance, structure, and legal risks Support restructuring and transformation of ownership and holding chains Requirements: 8+ years of experience in corporate law, litigation, or special situations within holding groups, investment firms, or financial institutions Proven record in shareholder-related matters and maintaining governance integrity in multi-jurisdictional structures Strong knowledge of corporate, commercial, and procedural law, including practical experience with English law documentation and principles Experience managing complex ownership structures and multi-stakeholder decision-making Fluent in English and Russian Core traits: strategic insight, precision, diplomacy, and discretion
